Takeoff Disclaimer & Indemnification Agreement

1. Purpose and Scope of Estimate
This digital material takeoff, including all color-coded overlays, highlights, and annotations (the “Takeoff”), is provided solely as a preliminary estimating tool for material quantities. It does not constitute a structural design, engineering document, or architectural modification.

2. Quantity Verification Required
All quantities, dimensions, and material types indicated in this Takeoff are approximations based on digital scaling of the provided documents. The purchasing agent, contractor, or subcontractor must field-verify all actual job site conditions, framing layouts, and exact dimensions prior to ordering or purchasing materials. LumberKit Inc. assumes no financial liability for material shortages, overages, or project delays resulting from reliance on this Takeoff.

3. Client Representation of Right to Use Plans
The Client expressly represents and warrants that they possess the legal, fully paid license, ownership, or authorized right from the copyright holder (the Architect/Designer) to use, reproduce, modify, and create derivative works from the architectural plans provided for this project.

4. Intellectual Property Indemnification
The Client agrees to indemnify, defend, and hold harmless LumberKit Inc., its employees, and its consultants from and against any and all claims, damages, liabilities, costs, or legal fees (including attorney’s fees) arising out of or resulting from any copyright infringement claims, unauthorized use, or licensing disputes brought by the architect, designer, or any third party regarding the plans used to generate this Takeoff.
